Article III: Personnel & Officers

Section 1. Personnel

The authority and responsibility for the selection and appointment of the Executive Director as defined by the Table of Organization is delegated to the Executive Board of BCCLS. The Executive Director recruits and recommends to the Executive Board individuals to be hired. The Executive Board, acting on the Executive Director's recommendation makes the final employment decision.

Section 2. President

  1. Election and Term: The System Council will elect a President at the meeting following the election of the Executive Board from among the Executive Board members. Voting shall be by written ballot unless otherwise designated by a majority vote of those present. The President will be elected for a one-year term. See ARTICLE II, Section 3. Vacancies.

    The President of the Board who fails or is unable to perform the duties imposed by the Board may be removed from office by three-fourths vote of the remaining members.

  2. Duties: The President shall preside at all regular and special meetings of the Board and the System Council and may call special meetings when necessary. The President will ensure that all Board members receive a printed agenda of all meetings of the Board and the System Council.

    The President, with the approval of the Executive Board, shall appoint at least three members to standing and ad hoc committees. The President is authorized to sign all contracts and to receive funds within the plans and budget approved by the System Council. The President may serve as an ex-officio member of any committee, and may chair a committee only with Board approval.

Section 3. Vice-President

  1. Election and Term: The Executive Board will select at an organizational meeting a Vice-President.  Nominations may be presented and seconded by any member of the Executive Board. Voting shall be by open ballot unless otherwise designated by a majority vote of those present. A majority vote (6) of the full membership of the Executive Board will be required for the election of a Vice-President.

    The Vice-President will be elected for a one-year term. If for any reason the position becomes Vacant, the Board must elect a new Vice-President to fill the unexpired term not later than thirty (30) days after the vacancy occurs.

    The Vice-President who fails or is unable to perform the duties of the office may be removed from office by a three-fourths vote of the remaining members.

  2. Duties: The Vice-President shall assume the duties of the President if the President is temporarily unavailable.

Section 4. Treasurer

  1. The Executive Board will select at an organizational meeting a Treasurer. Nominations may be presented and seconded by any member of the Executive Board. Voting shall be by open ballot unless otherwise designated by a majority vote of those present. A majority vote (6) of the full membership of the Executive Board will be required for the election of a Treasurer.

    The Treasurer will be elected for a one-year term. If for any reason the position becomes vacant, the Board must elect a new Treasurer to fill the unexpired term not later than thirty (30) days after the vacancy occurs.

    The Treasurer who fails or is unable to perform the duties of the office may be removed from office by a three- fourths vote of the remaining members.

  2. Duties: The Treasurer will review and recommend for Board approval the expenditure of all funds as appropriated for the system's budget. The Treasurer will serve as chief financial officer and be responsible for periodic written reports to the Executive Board. The Treasurer will review the preparation of the annual audit, and present a written financial statement to the System Council at the annual spring meeting. The Treasurer, in addition to the President, is authorized to sign all contracts and to receive funds within the plans and budget approved by the System Council.

Section 5. Secretary

The Executive Director shall also serve in the capacity of Secretary of the organization.

Section 6. Table of Organization

By a majority vote, the System Council may amend the Table of Organization.
